1.Acceptance and Scope
These Terms and Conditions (“Terms”) govern access to and use of the Regumint platform, website, and associated services (“Services”) provided by MMS Ventures SAS, a French simplified joint-stock company (“Regumint,” “we,” “us,” “our”). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accessing the Services on behalf of an organisation, you represent and warrant that you have authority to bind that entity to these Terms, and references to “you” include both you personally and that organisation.
If you do not agree to these Terms, do not access or use the Services.
2.Service Description
Regumint is a legal analysis platform that uses AI-powered structured reasoning to assist attorneys, paralegals, in-house legal teams, and legal professionals in analysing regulatory and legal questions. Core platform components include:
- Firm Bank — document ingestion and authority-ranked corpus management
- Legal Authority Model — 6-tier source classification and jurisdictional weighting
- Two-Phase Reasoning Engine — confidence scoring across source quality and answer coverage dimensions, with penalties for jurisdictional drift and irreducible legal ambiguity
- Traceability Layer — citation and source verification at the fragment level
Important limitation: Regumint provides analytical tools only. We do not provide legal advice, legal opinions, compliance certification, or any professional legal services. Use of the platform does not create any client–attorney, solicitor–client, avocat–client, or advisory relationship. All analytical outputs must be independently reviewed and validated by a qualified legal professional before any professional, legal, or compliance reliance is placed on them.
3.Access and Subscription Plans
3.1 Free Trial
A 14-day free trial with access to full platform functionality is available for professional evaluation purposes. Trial access is subject to reasonable fair use limits; we reserve the right to suspend or terminate trial accounts used for commercial or production purposes without an active subscription, or that exhibit patterns inconsistent with evaluation use.
3.2 Professional Subscription
Commercial use of the Services requires a paid subscription. Subscription scope — including the number of authorised users, accessible modules, and data processing limits — is defined at the time of purchase or in a separate order form.
3.3 Enterprise Agreements
Enterprise clients may enter into a separate order form or master services agreement (“MSA”) that supplements and, where expressly stated, supersedes these Terms. Enterprise clients who require a Data Processing Agreement (DPA) pursuant to Article 28 GDPR — including as a condition of uploading personal data to the platform — should request one at contact@regumint.com. We will execute a DPA as required.
Enterprise clients with heightened data sensitivity requirements — including those subject to professional secrecy obligations, bar association rules on data handling, regulatory constraints on cross-border data flows, or internal data residency policies — may request a configuration in which all AI processing is performed using infrastructure located within the EEA, or an on-premise deployment within their own environment. 3.4 Academic and Research Access
Reduced or complimentary access may be granted for qualifying academic institutions or non-commercial policy research organisations, subject to separate written conditions.
4.Payment Terms
- Subscriptions are billed in advance for the agreed billing period (monthly or annual).
- All fees are stated exclusive of applicable taxes, including VAT/TVA. You are responsible for all applicable taxes.
- Payments are non-refundable except where required by applicable mandatory law or expressly agreed in a separate order form.
- Failed or late payments may result in suspension of access after written notice of 7 days.
- We may revise subscription fees upon renewal, with no less than 30 days' advance written notice.
5.Term and Termination
- Access to the Services continues for the duration of the active subscription period.
- Either party may terminate the subscription at the end of the then-current subscription period by providing written notice before the renewal date.
- We may suspend or terminate access immediately, without liability, in the event of: (a) material breach of these Terms; (b) use of the Services for unlawful purposes; (c) conduct that poses a security risk to the platform, our infrastructure, or other users; or (d) non-payment following the cure period described in Section 4.
- Upon termination, your right of access ceases immediately. We will handle your data in accordance with the Privacy Policy and, for Enterprise clients, in accordance with the applicable DPA.
6.Intellectual Property
6.1 Regumint Intellectual Property
All intellectual property rights in the Regumint platform — including software, design, data structures, reasoning architecture, authority models, confidence scoring methodology, and platform-generated outputs — are and remain the exclusive property of MMS Ventures SAS. Nothing in these Terms grants you any right, title, or interest in Regumint's intellectual property beyond the limited right to use the Services during a valid subscription period.
6.2 Your Content
You retain full ownership of all documents and content you upload to the platform (“User Content”). By uploading User Content, you grant MMS Ventures SAS a limited, non-exclusive, non-transferable, revocable licence to process, store, and analyse that content solely for the purpose of delivering the Services to you. This licence terminates when you delete your content or your subscription ends, whichever is earlier.
You represent and warrant that you have all necessary rights to upload User Content and that it does not infringe any third-party intellectual property rights or applicable law.
6.3 Usage Restrictions
You must not, and must not permit any third party to:
- Copy, decompile, reverse-engineer, disassemble, or create derivative works from the platform or its components
- Redistribute, resell, sublicense, or make platform outputs commercially available without our prior written consent
- Use the Services, directly or indirectly, to develop or contribute to any product or service that competes with Regumint
- Remove, modify, or obscure any copyright, trademark, or other proprietary notices on or in the platform
- Upload or transmit content to which you do not hold appropriate rights, or that is unlawful, harmful, or violates applicable professional rules
- Use automated scripts, bots, or web scrapers to access or extract data from the platform
7.Data Protection and Security
7.1 GDPR Compliance
We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable French data protection law (Loi n° 78-17 du 6 janvier 1978 relative à l'informatique, aux fichiers et aux libertés, as amended). Our Privacy Policy sets out our full data processing practices and is incorporated into these Terms by reference.
7.2 Data Security Measures
We apply industry-standard technical and organisational security measures, including:
- Encryption of data in transit (TLS 1.2+) and at rest
- Role-based access controls and principle of least privilege
- Audit logging of access to sensitive data and systems
- Regular vulnerability assessments
No information system is completely immune from risk. We do not guarantee absolute security, but we are committed to applying appropriate protective measures.
7.3 Data Processing Agreement
Where you are acting as a data controller and upload personal data to the platform as part of your use of the Services, we are acting as a data processor within the meaning of Article 4(8) GDPR. A Data Processing Agreement (DPA) governing the details of the processing relationship — including the subject matter, nature and purpose of processing, categories of data, applicable sub-processors, security obligations, and your audit rights — is available upon request at contact@regumint.com.
7.4 Sub-Processors
We engage third-party sub-processors to support the delivery of the Services. Current sub-processors include HubSpot (CRM and email), Vercel (hosting), and AI model providers. AI processing operates on a two-tier architecture: Tier 1 uses commercial LLM APIs for public regulatory corpus analysis; Tier 2 uses EEA-hosted infrastructure for all client-uploaded and sensitive documents. Full sub-processor details are set out in our Privacy Policy and is available in full upon request. We impose data protection obligations on all sub-processors equivalent to those required by Article 28 GDPR. We will notify you in advance of any intended changes to our sub-processor list that may affect you.
7.5 Data Breach Notification
In the event of a personal data breach arising from our processing as your data processor, we will notify you without undue delay and, to the extent technically and practically possible, within 72 hours of becoming aware of the breach, to enable you to fulfil your own notification obligations under Article 33 GDPR. Notifications will be sent to the contact email associated with your account unless you specify otherwise.
7.6 No Sale; No AI Training
We do not sell client data. We do not use client data — including uploaded documents, queries, or analytical outputs — to train, fine-tune, benchmark, or otherwise improve AI models, whether operated by Regumint or any third-party provider. This prohibition is contractually imposed on all AI sub-processors.
8.Confidentiality
We treat all User Content and the contents of your analyses as confidential information. We will not disclose your User Content or analysis results to any third party, except: (a) to authorised sub-processors under confidentiality obligations, solely to deliver the Services; (b) as required by applicable law, court order, or regulatory authority; or (c) with your prior written consent.
Attorney-client privilege and professional secrecy: You are solely responsible for assessing the compatibility of using Regumint with any attorney-client privilege, legal professional privilege, professional secrecy (secret professionnel), or bar association obligations applicable to you or your jurisdiction. We strongly recommend consulting your relevant professional regulatory body or bar association before uploading any privileged, confidential, or client matter documents to the platform.
9.User Responsibilities
You agree to:
- Maintain the strict confidentiality of your account credentials and notify us immediately at contact@regumint.com of any actual or suspected unauthorised access
- Ensure that all individuals within your organisation who access the Services are aware of and comply with these Terms
- Use the Services only for lawful, professional purposes and in compliance with all applicable laws, regulations, and professional rules
- Independently review and validate all analytical outputs before placing any professional, legal, or compliance reliance on them
- Ensure that you have an appropriate legal basis, and where required a DPA with us, before uploading any personal data belonging to third parties
10.Disclaimers
10.1 Informational Use Only
Regumint outputs are analytical tools designed to assist legal professionals in their analysis. They do not constitute legal advice, legal opinions, or compliance certifications and cannot substitute for authoritative legal sources, human expert judgment, or professional legal review.
10.2 No Guarantee of Legislative Currency
While we aim to maintain an up-to-date corpus, we cannot guarantee that all sources in the Regumint corpus reflect the most recent legislative amendments, judicial decisions, or regulatory guidance at any given time. Users must independently verify the currency and applicability of all sources before relying on them.
10.3 AI Limitations
Large language models can produce outputs that are incomplete, contextually inappropriate, or factually inaccurate. Regumint's confidence scoring and traceability architecture are designed to surface uncertainty, flag gaps, and link outputs to sources — but these mechanisms do not eliminate the inherent limitations of AI-assisted analysis. All outputs require human review.
10.4 No Warranty
Except as required by applicable mandatory law, the Services are provided on an “as is” and “as available” basis, without warranty of any kind — express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
11.Limitation of Liability
To the fullest extent permitted by applicable French law, the aggregate liability of MMS Ventures SAS to you for all claims arising under or in connection with these Terms or the Services — whether in contract, tort, breach of statutory duty, or otherwise — shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profit, loss of data, loss of goodwill, or business interruption, whether or not we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
12.Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, cyberattacks affecting critical infrastructure, pandemic, fire, flood, or acts of government or regulatory authorities (“Force Majeure Event”). The affected party must notify the other promptly and take reasonable steps to mitigate the impact. If the Force Majeure Event continues for more than 60 days, either party may terminate the affected subscription with written notice.
13.EU Artificial Intelligence Act
Regumint operates as a provider of AI systems within the scope of EU Regulation 2024/1689 (the EU AI Act). We monitor our obligations under the EU AI Act as its provisions enter into force and will update our practices and documentation accordingly. Users of Regumint should treat all platform outputs as decision-support tools, consistent with the human oversight requirements applicable to AI-assisted professional workflows.
14.Third-Party Services and Links
The platform may reference, integrate with, or provide links to third-party sources, services, or databases. We are not responsible for the availability, accuracy, content, or data practices of any third-party service. Use of third-party services is at your own risk and subject to the applicable third-party terms and privacy policies.
15.Modifications to Terms
We may update these Terms from time to time. We will provide at least 30 days' advance notice of any material changes, via website notice or direct email to the address associated with your account. Continued use of the Services after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with material changes, you may terminate your subscription before the effective date of the update.
16.Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with French law, without regard to its conflict of law provisions. Any dispute arising from or in connection with these Terms that cannot be resolved amicably between the parties within 30 days of written notice shall be subject to the exclusive jurisdiction of the Courts of Paris (Tribunaux de Paris), France, unless mandatory consumer protection or applicable professional law in your jurisdiction of residence requires otherwise.
17.General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and any applicable order form, DPA, or MSA, constitute the entire agreement between the parties with respect to the Services and supersede all prior representations, negotiations, or agreements relating to the subject matter hereof.
- Severability: If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
- No waiver: Failure by either party to enforce any provision of these Terms on one occasion shall not be deemed a waiver of future enforcement of that or any other provision.
- Assignment: You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
- Notices: Formal notices under these Terms must be in writing and sent by email to contact@regumint.com (for notices to us) or to the account email address on file (for notices to you).
